Terms of Use

These terms govern your access to and use of the AI Smart Receptionist service, our website, and all related products offered by AI Solutions Canada. Please read them carefully before using our Services.

Section 1

Acceptance of Terms

By accessing or using any product, service, or website operated by AI Solutions Canada Inc. ("AI Solutions Canada," "we," "us," or "our"), including the AI Smart Receptionist and aisolutionscanada.ca (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms").

If you are using the Services on behalf of a business, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

If you do not agree to these Terms, you must not access or use the Services.

Plain Language Summary

Using our service means you've read and accepted these terms. If you're signing up on behalf of your business, you're confirming you have the authority to do so.

Section 2

Definitions

The following definitions apply throughout these Terms:

  • "Services" means the AI Smart Receptionist, the aisolutionscanada.ca website, the Subscriber dashboard, and all related features, tools, integrations, and support provided by AI Solutions Canada.
  • "Subscriber" means any individual or business entity that has created an account and subscribed to the Smart Receptionist service.
  • "Caller" means any person who calls a phone number served by the Smart Receptionist on behalf of a Subscriber's business.
  • "Subscription" means the paid plan (Individual, Business, or Enterprise) under which a Subscriber accesses the Services.
  • "Subscriber Content" means all data, information, configurations, call recordings, transcripts, and business information provided by or generated for a Subscriber through the Services.
  • "Effective Date" means the date you first accept these Terms or begin using the Services, whichever is earlier.
Section 3

The Services

AI Solutions Canada provides the AI Smart Receptionist — an AI-powered call answering and booking service for small businesses. The core features of the Services include:

  • 24/7 inbound call answering via conversational AI
  • Appointment booking and calendar integration
  • SMS and email booking confirmations and reminders
  • Emergency detection and escalation routing
  • Call recording, transcription, and summarisation (Business and Enterprise plans)
  • Integration with third-party scheduling and CRM platforms
  • A Subscriber dashboard for managing account settings and reviewing call data

The specific features available to you depend on your Subscription plan. We reserve the right to modify, add, or remove features from any plan upon reasonable notice to Subscribers.

Section 4

Account Registration

4.1 Eligibility

You must be at least 18 years of age and a resident of Canada, or authorised to enter into contracts on behalf of a Canadian business entity, to create an account. By registering, you confirm that you meet these requirements.

4.2 Account Information

When creating an account, you agree to provide accurate, current, and complete information. You are responsible for keeping your account information up to date, including your billing information and contact email address.

4.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at the contact information in Section 19 if you suspect any unauthorised use of your account or any other security breach.

AI Solutions Canada is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4.4 One Account Per Business

Each Subscription is associated with one business entity and one primary phone number unless you are on an Enterprise plan that explicitly permits multi-location or multi-number configurations. Creating multiple accounts to circumvent plan limits is a violation of these Terms.

Section 5

Subscriptions & Billing

5.1 Subscription Plans

The Services are offered on a monthly subscription basis. Current plan details, pricing, and included features are described on our Pricing page. We reserve the right to change plan pricing upon at least 30 days' written notice to active Subscribers.

5.2 Billing Cycle

Subscriptions are billed monthly in advance on the anniversary of your subscription start date. If you upgrade your plan mid-cycle, the difference is prorated and charged immediately. If you downgrade, the new rate applies at the start of the next billing cycle.

5.3 Payment

By providing a payment method, you authorise AI Solutions Canada to charge your chosen payment method for all fees associated with your Subscription. All fees are stated in Canadian dollars and are exclusive of applicable taxes unless otherwise stated.

If a payment fails, we will notify you and attempt to collect payment again. If payment remains outstanding after 7 days, we may suspend your account until payment is received. Accounts suspended for non-payment for more than 30 days may be terminated.

5.4 Taxes

You are responsible for all applicable taxes, including HST/GST, arising from your use of the Services. Where required by law, AI Solutions Canada will collect and remit applicable taxes on your behalf.

5.5 No Refunds

All fees paid are non-refundable except as expressly required by applicable Canadian consumer protection legislation. If you cancel your Subscription, you will continue to have access to the Services until the end of your current billing period. We do not provide partial-month refunds upon cancellation.

5.6 Cancellation

You may cancel your Subscription at any time by clicking "Cancel" in your dashboard, or by contacting us at the details in Section 19. Cancellations take effect at the end of the current billing period. You will not be charged for subsequent periods after cancellation. There are no cancellation fees or penalties.

Pause Feature

As an alternative to cancellation, you may pause your Subscription at any time by clicking "Pause" in your dashboard or dialling #72 from any phone. Pause resumes by clicking "Resume" or dialling #71. Paused accounts are not billed during the pause period (up to the terms of your plan).

Section 6

Free Trials

We offer free trial periods on all Subscription plans (7 days for Individual, 14 days for Business, 30 days for Enterprise). During a free trial, you have access to all features of the relevant plan at no charge.

No credit card is required to begin a free trial. At the end of the trial period, if you choose to continue, you will be asked to provide a payment method to activate a paid Subscription. If you do not activate a paid Subscription, your access to the Services will end.

Free trials are available once per Subscriber. Creating multiple accounts to obtain repeated free trials is a violation of these Terms and may result in suspension or termination of all associated accounts.

Important

Call data, recordings, and configurations created during a free trial may be deleted if you do not convert to a paid Subscription. We recommend downloading any recordings you wish to keep before your trial ends.

Section 7

Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with all applicable laws, regulations, and these Terms. In particular, you agree that:

  • You will use the Services to manage legitimate inbound calls for a real, operating business
  • You will ensure that the business information and intake scripts you provide during setup are accurate and truthful
  • You will promptly update your account configuration if your business details, hours, services, or contact information change
  • You will use call recordings and transcripts only for lawful business purposes (quality review, training, record-keeping) and in compliance with applicable privacy law
  • You will comply with all applicable telecommunications, consumer protection, and privacy laws in your jurisdiction, including requirements around call recording disclosure
  • You will take responsibility for ensuring that your use of the AI to interact with your customers is appropriate, accurate, and consistent with your obligations to those customers
Section 8

Prohibited Uses

The following uses of the Services are strictly prohibited. Violation of this section may result in immediate suspension or termination of your account without refund:

  • Fraudulent or deceptive use: Using the AI to deceive callers in a manner that causes harm, misrepresents your business, or violates consumer protection laws
  • Harassment or abuse: Configuring the AI to harass, threaten, or abuse callers
  • Illegal activity: Using the Services in connection with any unlawful activity, including facilitating fraud, money laundering, or other criminal conduct
  • Spam or unsolicited communications: Using the Services to make or facilitate unsolicited outbound calls or messages in violation of Canada's Anti-Spam Legislation (CASL) or other applicable law
  • Circumventing plan limits: Creating multiple accounts or using technical means to exceed your plan's call and booking limits
  • Interfering with the Services: Attempting to access, reverse-engineer, disassemble, or interfere with the underlying AI systems, infrastructure, or code
  • Reselling without authorisation: Reselling or sublicensing access to the Services without a written reseller agreement with AI Solutions Canada
  • Collecting data unlawfully: Using the Services to collect personal information from callers in a manner that violates PIPEDA or other applicable privacy law
  • Regulated industries without compliance: Using the Services in a regulated industry context (e.g., healthcare, legal, financial) without ensuring compliance with all applicable professional and regulatory requirements
Enforcement

We take prohibited use seriously. We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities. Accounts found to be in violation may be suspended immediately and permanently without notice.

Section 9

Your Data & Content

9.1 Ownership

You retain full ownership of all Subscriber Content — including your business configurations, customer call data, recordings, transcripts, and booking information. AI Solutions Canada does not claim any ownership rights over your data.

9.2 Licence to Process

By using the Services, you grant AI Solutions Canada a limited, non-exclusive licence to process, store, and use your Subscriber Content solely for the purpose of providing the Services to you. This licence terminates when your Subscription ends and your data is deleted in accordance with our retention policy.

9.3 Your Responsibilities for Caller Data

As the Subscriber, you are the data controller for any personal information collected from your Callers through the Smart Receptionist. You are responsible for:

  • Ensuring you have a lawful basis for collecting and using Caller information
  • Complying with PIPEDA and all other applicable privacy laws with respect to your Callers' information
  • Responding to any access, correction, or deletion requests from your Callers
  • Informing your Callers, where required, that their calls may be recorded

9.4 Data Export and Portability

You may download your call recordings, transcripts, and account data from your dashboard at any time during your Subscription. Upon cancellation, we recommend downloading any data you wish to retain before your account is closed. After account closure, we are not obligated to retain or provide access to your data.

9.5 Aggregated Analytics

AI Solutions Canada may use aggregated, de-identified data derived from usage of the Services to improve the AI, develop new features, and conduct research. This data cannot be used to identify you or your customers. It is not sold to third parties.

Section 10

Intellectual Property

10.1 Our Property

The Services, including the AI technology, software, interface, branding, content, and documentation, are the intellectual property of AI Solutions Canada Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in our intellectual property beyond the limited right to use the Services as described herein.

10.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Services ("Feedback"), you grant AI Solutions Canada a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose, including incorporating it into the Services, without any obligation to compensate you.

10.3 Restrictions

You agree not to copy, modify, distribute, sell, sublicense, reverse-engineer, decompile, or create derivative works from any part of the Services without our prior written consent.

Section 11

Third-Party Integrations

The Services integrate with third-party platforms such as Google Calendar, Microsoft Outlook, Jobber, Housecall Pro, Jane App, Twilio, and others (collectively, "Third-Party Services") at your direction.

Your use of Third-Party Services is governed by the terms and privacy policies of those platforms. AI Solutions Canada is not responsible for the availability, accuracy, or conduct of any Third-Party Service.

By connecting a Third-Party Service to your Smart Receptionist account, you authorise AI Solutions Canada to share data with that service as necessary to fulfil the integration. You represent that you have the right to authorise this data sharing.

If a Third-Party Service changes its API, terms, or availability in a way that affects our integration, we will make reasonable efforts to maintain the integration but cannot guarantee uninterrupted connectivity with any third-party platform.

Section 12

Service Availability & Uptime

AI Solutions Canada targets 99% uptime for the Smart Receptionist service. Enterprise plan Subscribers receive an SLA guarantee with defined uptime commitments and remedies for outages that exceed the guaranteed threshold.

For Individual and Business plan Subscribers, we make commercially reasonable efforts to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance wherever possible.

Factors outside our reasonable control — including telecommunications outages, third-party service failures, force majeure events, and internet infrastructure issues — may affect service availability. We are not liable for service disruptions caused by such factors.

In the event of a service outage affecting call answering, calls will typically default to your existing voicemail or call handling setting on your phone carrier.

Section 13

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

AI Solutions Canada does not warrant that:

  • The Services will be uninterrupted, error-free, or free from security vulnerabilities
  • The AI will accurately transcribe, interpret, or respond to every call or every type of caller intent
  • Bookings made through the Services will be free from scheduling conflicts arising from external calendar changes
  • The Services will be compatible with all third-party platforms or systems
  • Any particular business outcome (such as increased bookings or reduced no-shows) will result from use of the Services
Important for Regulated Industries

The Smart Receptionist is a general-purpose AI call handling tool. Businesses operating in regulated industries — including healthcare, law, and finance — are responsible for ensuring that their use of the Services complies with all applicable professional and regulatory requirements. The Services are not a substitute for professional judgment or required disclosures.

Section 14

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL AI SOLUTIONS CANADA INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business, data, or goodwill
  • Damages arising from missed calls, failed bookings, or service unavailability
  • Damages arising from your reliance on AI-generated responses or transcripts
  • Damages arising from the acts or omissions of third-party service providers

In no event shall our total aggregate liability to you for all claims arising under or in connection with these Terms or the Services exceed the total Subscription fees you paid to us in the three (3) calendar months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law. Nothing in these Terms limits liability that cannot be excluded by law, including liability for gross negligence, fraud, or wilful misconduct.

Section 15

Indemnification

You agree to indemnify, defend, and hold harmless AI Solutions Canada Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services in violation of these Terms or applicable law
  • Your business's handling of Caller personal information in violation of PIPEDA or other applicable privacy law
  • Any claim by a Caller or third party arising from the AI's handling of calls on your behalf
  • Your failure to comply with call recording disclosure requirements in your jurisdiction
  • Any content or configurations you provide that infringe third-party intellectual property rights
Section 16

Termination

16.1 Termination by You

You may terminate your Subscription at any time by cancelling through your dashboard or contacting us at the details in Section 19. Termination takes effect at the end of the current billing period and you will not be charged for subsequent periods. There are no termination fees.

16.2 Termination by AI Solutions Canada

We may suspend or terminate your account and access to the Services immediately and without notice if:

  • You violate these Terms, including the Prohibited Uses in Section 8
  • Payment for your Subscription remains outstanding for more than 30 days after the due date
  • We are required to do so by applicable law or court order
  • Continued provision of the Services to you would expose us to legal or regulatory risk

We may also terminate the Services generally with 30 days' written notice to all active Subscribers. In such an event, we will provide a prorated refund of prepaid fees for the unused portion of your Subscription.

16.3 Effect of Termination

Upon termination, your right to access the Services ends immediately. Subscriber Content will be deleted within 30 days of account closure, in accordance with our data retention policy. Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 9, 10, 13, 14, 15, and 18.

Section 17

Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify active Subscribers by email at least 14 days before the changes take effect
  • Post a notice on our website

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with material changes, you may cancel your Subscription before the changes take effect at no penalty.

For changes that are non-material (such as clarifications, typographical corrections, or changes required by law), we may update the Terms without prior notice.

Section 18

Governing Law & Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

18.2 Dispute Resolution

We encourage you to contact us first if you have a concern about the Services or these Terms. Most issues can be resolved quickly and informally. Contact us at the details in Section 19 and we will respond within 5 business days.

If a dispute cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario for resolution. You waive any objection to the personal jurisdiction of such courts.

18.3 Language

These Terms are written in English. If a translated version is provided for convenience, the English version shall prevail in the event of any inconsistency.

18.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18.5 Entire Agreement

These Terms, together with our Privacy Policy and any order confirmation or written agreement executed between you and AI Solutions Canada, constitute the entire agreement between you and AI Solutions Canada with respect to the Services and supersede all prior agreements, understandings, and representations.
